1. 合约主体与授权范围1. The contracting party and your licence

本条款中的「我们」指 MNV LIMITED，一家注册于中国香港特别行政区、成立于 2022 年 5 月 16 日的 iOS 软件公司，注册地址为香港元朗宏業南街 22 號虹方 8 樓 802 室，电话 +852 2661 2188。Reflib 是 MNV LIMITED 旗下的 iOS 开发团队与产品品牌。 “We” in these terms means MNV LIMITED, an iOS software company incorporated in the Hong Kong SAR on 16 May 2022, with its registered address at Flat 02, 8/F, The Rainbow, 22 Wang Yip Street South, Yuen Long, N.T., Hong Kong, telephone +852 2661 2188. Reflib is the iOS development team and product brand of MNV LIMITED.

在你遵守本条款的前提下，我们授予你一项非独占、不可转让、可撤销的许可，允许你在自己拥有或控制的 Apple 设备上使用 Reflib 应用，用途限于个人或内部业务使用。应用本身及其所有代码、界面设计与商标的知识产权归 MNV LIMITED 所有，本许可不构成任何所有权转让。 Subject to your compliance with these terms, we grant you a non-exclusive, non-transferable, revocable licence to use the Reflib apps on Apple devices you own or control, for personal or internal business purposes. All intellectual property in the apps, their code, interface design and trade marks remains with MNV LIMITED; this licence transfers no ownership.

你不得对应用进行反向工程、反编译、拆解（法律明确允许的范围除外），不得移除任何版权或所有权声明，不得将应用再分发、出租或转售，也不得将其用于任何违法用途。 You may not reverse engineer, decompile or disassemble the apps except where the law expressly permits it, remove any copyright or proprietary notices, redistribute, rent or resell the apps, or use them for any unlawful purpose.

商标Trade marks

REFLIB 是 MNV LIMITED 持有的注册商标，已在以下尼斯分类类别取得注册： REFLIB is a registered trade mark held by MNV LIMITED, registered in the following Nice classes:

未经 MNV LIMITED 事先书面同意，不得将 REFLIB 名称、标识或与之混淆性近似的标记用于任何商品、服务、域名或宣传材料。本条款不授予你任何商标许可。 You may not use the REFLIB name, logo or any confusingly similar mark on goods, services, domain names or promotional material without MNV LIMITED’s prior written consent. These terms grant you no trade mark licence.

2. 通过 App Store 分发2. Distribution through the App Store

应用通过 Apple App Store 分发，因此你同时受 Apple 的《服务条款》与《App Store 使用条款》约束。若本条款与 Apple 的条款存在冲突，就 Apple 提供的服务而言以 Apple 的条款为准。Apple 不是本条款的当事方，对应用本身不承担任何责任，但作为第三方受益人有权执行本条款。 The apps are distributed through the Apple App Store, so Apple’s Terms of Service and App Store terms also apply to you. Where these terms conflict with Apple’s, Apple’s terms prevail in respect of the services Apple provides. Apple is not a party to these terms and bears no responsibility for the apps, but is a third-party beneficiary entitled to enforce them.

所有付款、退款与订阅管理均由 Apple 处理，请依据 Apple 的政策申请退款。我们无权直接为你办理退款。 All payments, refunds and subscription management are handled by Apple; refund requests must follow Apple’s policies. We cannot process a refund for you directly.

3. 第三方服务3. Third-party services

Reflib DNS、Reflib Mail 与 Reflib NIC 是第三方平台的客户端工具，分别对接 Cloudflare、Microsoft 与 NameSilo 的公开接口。我们与这些公司没有任何隶属、合作或授权关系，相关名称与商标归各自所有者。 Reflib DNS, Reflib Mail and Reflib NIC are client tools for third-party platforms, working against the public APIs of Cloudflare, Microsoft and NameSilo respectively. We are not affiliated with, partnered with or endorsed by any of these companies, and the relevant names and marks belong to their respective owners.

你使用这些平台时，须同时遵守其各自的服务条款。这些平台随时可能修改或停用其接口，从而导致相关功能失效；对此我们会尽力适配，但不作任何保证。因第三方平台的服务中断、政策变更、计费错误或数据丢失造成的损失，我们不承担责任。 Your use of those platforms is also governed by their own terms of service. They may change or withdraw their APIs at any time, which can break features here; we will make reasonable efforts to adapt but give no guarantee. We are not liable for losses arising from a third-party platform’s outages, policy changes, billing errors or data loss.

4. 你的责任4. Your responsibilities

由于我们不在云端保存你的任何数据，数据的备份与保管完全由你负责。我们强烈建议你定期使用应用内的导出功能生成备份，并妥善保管备份文件。设备丢失、损坏、误删应用或误操作导致的数据丢失，我们无法协助恢复。 Because we store none of your data in the cloud, backing it up and keeping it safe is entirely your responsibility. We strongly recommend exporting backups regularly from within each app and storing those files carefully. We cannot help recover data lost to a lost or damaged device, an accidentally deleted app, or a mistaken action.

你还需要对以下事项负责：为设备设置锁屏密码并保持系统更新；妥善保管你输入到应用中的 API 密钥、令牌与密码；确认你有权管理相应的域名、DNS 记录与邮箱账户；以及在使用 Reflib DNS 或 Reflib NIC 执行修改、续费、转移等操作前，确认操作内容无误——这些操作可能产生费用或造成服务中断，一经执行即由相应平台生效，我们无法撤销。 You are also responsible for: setting a device passcode and keeping iOS up to date; safeguarding the API keys, tokens and passwords you enter; confirming you are authorised to manage the domains, DNS records and mailboxes concerned; and double-checking any change, renewal or transfer before executing it in Reflib DNS or Reflib NIC — such actions can incur charges or cause outages, take effect on the relevant platform immediately, and cannot be undone by us.

5. 免责声明5. Disclaimer of warranties

应用按「现状」与「现有」基础提供。在适用法律允许的最大范围内，我们不作任何明示或默示的保证，包括但不限于适销性、特定用途适用性与不侵权的保证。我们不保证应用不会中断、没有错误，或能够满足你的特定需求。 The apps are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the apps will be uninterrupted or error-free, or that they will meet your particular requirements.

尤其需要说明的是，Reflib PWD 与 Reflib CAL 中的数据只存在于你的设备上。我们不对数据丢失承担责任，请务必自行维护备份。 In particular, data in Reflib PWD and Reflib CAL exists only on your device. We accept no liability for data loss, so please maintain your own backups.

6. 责任限制6. Limitation of liability

在适用法律允许的最大范围内，对于因使用或无法使用应用而产生的任何间接、附带、特殊、后果性或惩罚性损失（包括数据丢失、利润损失、业务中断、域名过期或服务中断），我们均不承担责任。在任何情况下，我们的累计赔偿责任不超过你在过去十二个月内为该应用实际支付的金额，或港币 100 元，以较高者为准。 To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive loss arising from your use of, or inability to use, the apps — including data loss, lost profits, business interruption, domain expiry or service outages. In no event will our aggregate liability exceed the greater of the amount you actually paid for the app in the preceding twelve months, or HKD 100.

部分司法管辖区不允许排除或限制某些责任，若你身处此类地区，上述限制在法律不允许的范围内不适用于你。本条款不排除或限制法律不允许排除的责任，包括因欺诈或重大过失造成的人身伤害责任。 Some jurisdictions do not allow certain exclusions or limitations of liability; if you are in one, the limitations above do not apply to the extent the law forbids them. Nothing here excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by fraud or gross negligence.

7. 更新与变更7. Updates and changes

我们可能不时发布应用更新以修复缺陷、改进功能或适配新版 iOS。某些更新可能修改或移除既有功能。我们也可能修订本条款，修订后的版本将在本页面发布并更新生效日期；在变更生效后继续使用应用，即视为你接受修订后的条款。 We may release updates from time to time to fix defects, improve features or support new versions of iOS, and some updates may change or remove existing functionality. We may also revise these terms; the revised version will be posted on this page with an updated effective date, and continued use after that date constitutes acceptance.

8. 终止8. Termination

你可以随时通过从设备上删除应用来终止本许可。若你违反本条款，本许可将自动终止。终止后，第 5、6、9 条以及依其性质应当继续有效的条款仍然有效。 You may end this licence at any time by deleting the apps from your device. The licence terminates automatically if you breach these terms. Sections 5, 6 and 9, along with any provision that by its nature should survive, remain in effect after termination.

9. 适用法律与争议解决9. Governing law and disputes

本条款受中国香港特别行政区法律管辖并据其解释，不适用其冲突法规则。因本条款引起或与之相关的任何争议，应提交香港特别行政区法院专属管辖。若你作为消费者所在地的法律赋予你在当地法院起诉的权利，本条不影响该权利。 These terms are governed by and construed under the laws of the Hong Kong SAR, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to them is subject to the exclusive jurisdiction of the courts of the Hong Kong SAR. If consumer law where you live gives you the right to bring proceedings in your local courts, this clause does not affect that right.

10. 其他10. General

本条款连同隐私政策构成你与我们之间就应用使用达成的完整协议。若本条款的任何条文被认定为无效或不可执行，其余条文仍具完全效力。我们未行使某项权利不构成对该权利的放弃。 These terms together with the privacy policy form the entire agreement between you and us regarding use of the apps. If any provision is held invalid or unenforceable, the remainder stays in full force. A failure to exercise a right is not a waiver of it.

本条款以中文版本与英文版本同时发布。如两个版本之间出现歧义，以中文版本为准。 These terms are published in Chinese and English. In the event of any discrepancy between the two versions, the Chinese version prevails.
